Terms of sale

1. Seller and checkout

Lemon Squeezy sells null.audio products to you as the merchant of record. Checkout, payment, tax, invoices and the download are handled by Lemon Squeezy as the merchant of record. Its buyer terms apply to the purchase, alongside these terms and the licence agreement below.

2. Products and prices

The products are null.audio ALIGN (€39), null.audio EDIT (€49), and null.audio ALIGN + EDIT (€69), which includes both. During an announced introductory period the lower price shown at checkout applies. Each is a one-time purchase; there is no subscription. Prices include VAT, and checkout shows the tax amount before you order. Buying ALIGN does not include EDIT, and buying EDIT does not include ALIGN.

3. Licence and third-party software

You receive a one-time purchase with a perpetual product licence under the licence agreement below. You need your own licence and installation of the third-party software: VocAlign Pro or VocAlign Standard for ALIGN, and a compatible ARA editor such as Melodyne, SpectraLayers, RePitch, Vovious or NoiseWorks VoiceAssist for EDIT. These are not included.

4. Activation

Each product licence works on two computers at once; the bundle gives this for both products. To move a licence, deactivate it in null.audio (Licenses) on the old computer, or write to us. There is no null.audio account.

5. Delivery and updates

After payment, Lemon Squeezy emails your licence key. You download null.audio for macOS and Windows from null.audio/download, at any time. Updates to a product you own are included at no extra cost.

6. Compatibility

null.audio runs on macOS and Windows and needs Ableton Live 12.3 or later with Max for Live. The tested setups are listed on the support page. A setup outside them may work, but is not promised to.

7. Digital content and withdrawal

Where the law gives you a right of withdrawal for digital content, the checkout asks for your express request for immediate delivery and your confirmation that the right of withdrawal ends with delivery. Nothing in these terms limits mandatory consumer rights.

8. Compatibility refund

In addition to your statutory rights, there is a 14-day compatibility refund: see our refund promise below.

9. Applicable law

German law applies. If you are a consumer, you keep the protection of the mandatory consumer law of the country where you live.

Licence agreement (EULA)

The same agreement is shown by the installers before installing.

Version 1.0 · October 2026

This agreement is between you and Jan Rothmann, trading as null.audio, a sole proprietor in Germany ("we", "us"). The postal address is in the legal details on null.audio. Contact: contact@null.audio.

It covers null.audio ALIGN, null.audio EDIT and the bundle null.audio ALIGN + EDIT, and the software that comes with them: the null.audio app, the null.audio device for Ableton Live (null.audio.amxd), the null.audio EDIT Bridge plug-in, and their updates (together, "the software").

By installing or using the software you agree to these terms. If you don't agree, don't install it.

1. Buying

You buy through Lemon Squeezy, which sells the products to you as the merchant of record. Lemon Squeezy handles payment, tax, invoices and your licence key, under its own buyer terms. This agreement covers your use of the software.

2. Your licence

When you buy a product, you get a perpetual, non-exclusive licence to use it.

  • Two computers. You may activate each product on up to two computers at the same time. The bundle gives you this for both ALIGN and EDIT. To move a licence, deactivate it in null.audio (Licenses) on the old computer, or write to us.
  • Commercial work is fine. You may use the software to make music and audio for yourself or for paying clients. What you make is yours.
  • Updates are included. Updates to a product you own come at no extra cost, from the download page at null.audio/download.
  • Transfer. You may pass your licence on to someone else once, if you deactivate it on all your computers, stop using the software, and tell us at contact@null.audio so we can move the key.

3. What you may not do

  • Share your licence key, or use one key on more computers than section 2 allows.
  • Get around, disable or change the licence activation.
  • Copy, sell, rent or distribute the software, except as section 2 allows.
  • Decompile or reverse-engineer the software, except where the law allows it regardless of this agreement (in Germany, § 69e UrhG).

4. Other software you need

ALIGN needs your own copy and licence of VocAlign Pro or VocAlign Standard. EDIT needs your own copy and licence of a compatible ARA editor, such as Melodyne, SpectraLayers, RePitch, Vovious or NoiseWorks VoiceAssist. These are not included, are licensed by their own makers, and are not covered by this agreement. Ableton Live 12.3 or later with Max for Live is also needed.

The software includes open-source and third-party components, each under its own licence. They are listed, with their licence texts, under About → Third-party notices in the null.audio app.

5. Activation and your data

To activate or deactivate a licence, the software sends your licence key and an activation ID to Lemon Squeezy. It never sends audio, project or session data, and it has no analytics or automatic crash upload.

After activation, the software works without an internet connection. When it starts with a connection, it may check the licence with Lemon Squeezy. If a licence has been refunded or disabled, ALIGN or EDIT locks again; Revert and recovery stay available, so you can always get your original audio back.

More in the privacy notice.

6. Your audio and projects

The software only changes a clip when you press Commit, writes new audio to new files in your Live project, and never deletes files. Revert puts the previous clip back. Keep your own backups of important projects anyway, as with any audio software.

7. Refunds

Within 14 days of buying, if the software doesn't work as described on your setup, write to contact@null.audio with your setup and the problem. We make one reasonable attempt to help. If it still doesn't work on a supported or tested setup, we refund you in full and the licence is deactivated. This is in addition to your statutory rights, not instead of them.

8. Warranty

Your statutory rights for digital products apply, including our obligation to provide updates needed to keep the software working as described. We give no further guarantee beyond those rights and section 7. The software works alongside third-party products we don't control; their changes can affect it.

9. Liability

We are liable without limit for damage caused intentionally or through gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).

For slight negligence we are liable only for breach of an obligation that is essential to this agreement and that you may rely on, and then only for the typical damage that was foreseeable when you bought. For lost data, this covers the cost of restoring it from backups you could reasonably be expected to keep.

10. Ending the licence

The licence ends if you seriously breach this agreement, for example by sharing your key. You must then uninstall the software. Sections 6, 8 and 9 continue to apply.

11. Law

German law applies. If you are a consumer, you keep the protection of the mandatory consumer law of the country where you live.

12. Changes

We may update this agreement for new versions of the software. The version that came with the software you installed applies to that version.

Our refund promise

Within 14 days of buying, if the product doesn't work as described on your setup, write to contact@null.audio with your setup and the problem. We make one reasonable attempt to help. If it still doesn't work on a supported or tested setup, we refund you in full and the licence is deactivated. Your statutory rights are not affected.
